Amaury NARDONE

Amaury is the head of AXIPITER’s “Corporate Law – Mergers and Acquisitions” department.

In addition to traditional corporate law activities (incorporation, legal monitoring, equity capital operations, start-ups, fundraising, etc.) and contract law operations (licenses, distribution, CGV / CGA, etc.), he has developed a recognized practice in:

• Mergers and acquisitions (external growth, spin-offs, build-ups): audits, letters of intent, disposal protocols, asset and liability guarantee, etc.,
• LBOs (acquisitions or disposals): audits, issuance of complex securities, shareholders’ agreements, management packages, senior, mezzanine and subordinated debt, etc.,
• Stock market law: admissions to the quotation, prospectus, public offers, monitoring and holding of general meetings, buyback programs, issuance of securities, etc.,
• Corporate restructuring: mergers, splits, contributions.

Amaury acts mainly for industrial and service companies, some of which are listed, as well as for investment funds and managers.

He advises many international cases.

He is an auditor of the 70th session of IHEDN’s “Defense Policy“.

Education

Amaury holds the degree of Magistère Juriste d’Affaires -DJCE from the University of Jean Moulin Lyon III.

Professional practice

 Amaury joined DELSOL Avocats in 1993. He chaired the board of directors of this firm and doubled its size from 2011 to 2019. This mandate ended with the “French Firm of the Year” award during the Law Awards (Palmarès du Droit) organized by Le Monde du Droit.

In April 2021, Amaury founded AXIPITER which now counts 18 people with a strong desire for development and with the objective in 2027, of having 60 lawyers in all specialties in the service of SMEs / ETIs and their directors but also of “smid-caps” funds and their holdings.
