Amaury Nardone

Amaury is the founding partner of Axipiter and co-head of the “Corporate Law – Mergers & Acquisitions” department.

In addition to a broad corporate law practice (company formation, ongoing corporate support, equity transactions, start-ups, fundraising, etc.) and contract law (licences, distribution, T&Cs, etc.), he has developed recognised expertise in:

• Mergers & acquisitions (external growth, spin-offs, build-ups): audits, letters of intent, share purchase agreements, representations & warranties, etc.

• LBOs (acquisitions and disposals): audits, issuance of complex securities, shareholders' agreements, management packages, senior and mezzanine debt, subordination arrangements, etc.

• Capital markets: listings, prospectuses, public offers, shareholders’ meetings support, share buy-back programmes, issuance of securities, etc.

• Corporate reorganisations: mergers, demergers, contributions of assets.

He primarily advises industrial and service companies — including listed companies — as well as investment funds and managers.

He also handles numerous cross-border matters.

Amaury is an auditor of the 70th “Defence Policy” session of the IHEDN.

He joined Delsol Avocats in 1993 and chaired its board of directors, doubling the firm’s size between 2011 and 2019. His term ended with the firm receiving the “French Law Firm of the Year” award at the Palmarès du Droit organised by Le Monde du Droit.
